Terms of Service

1. Who we are

TutorCelle is a product of ExcelUp Lab LLC ("ExcelUp Lab", "TutorCelle", "we", "our", or "us"). TutorCelle operates a free global directory that helps students (and their parents or guardians) discover and contact independent tutors. By creating an account or using our website, mobile apps, or services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.

TutorCelle is operated by ExcelUp Lab LLC. Users may be presented with information about other products and services offered by ExcelUp Lab LLC.

2. Eligibility and accounts

• You must be at least 18 years old to create your own account.
• Student accounts on TutorCelle are reserved for adult learners aged 18 or older. We do not offer a self-serve Student account for minors.
• Students under 18 must be registered and supervised by a parent or legal guardian through a Parent account. The parent or guardian is the account holder and is bound by these Terms; the minor uses the platform under that Parent account.
• Before a Parent account can be used, the parent or legal guardian must complete a mandatory consent flow: confirming guardian status, consenting to the child's use of TutorCelle, agreeing to these Terms and the Privacy Policy, acknowledging that TutorCelle connects students with independent tutors, and agreeing to be visible on camera with the child during virtual tutoring sessions. The parent must also type their full legal name as a digital signature. We store this electronic consent record (parent name, date and time, IP address, consent version, and account ID) as evidence of consent.
• The name on the parent's government-issued ID submitted for verification must match the full legal name signed on the consent record. Accounts that fail this match may be suspended until corrected.
• Adult students must verify their identity and date of birth by uploading a government-issued ID on first sign-in. Access to the student dashboard is locked until this verification is submitted, and the account may be suspended or removed if the documents indicate the user is under 18 or if verification cannot be completed.
• A parent or legal guardian must be present and visible on camera with the minor for the entire duration of any video conference, virtual meeting, or live session with a tutor. Tutors may end a session immediately if a parent or guardian is not present.
• You agree to provide accurate information, keep your credentials secure, and are responsible for activity on your account.
• Tutors must pass identity and credential verification before appearing in search or contacting students.
• Before a tutor can accept — or be accepted for — a tutoring session with a child, the tutor must complete a mandatory child-safety acknowledgement: reviewing a safety checklist (parent-on-camera requirement, no off-platform private contact with the minor, mandatory reporting of safety concerns, no recording without consent, and age-appropriate conduct) and typing their full legal name as a digital signature. We store this electronic acknowledgement (tutor name, date and time, IP address, acknowledgement version, and account ID) as evidence. Tutors who decline or fail to complete the acknowledgement cannot work with minors on TutorCelle.
• To support this, Parent accounts and their requests are visibly labelled with a "Tutoring for a minor" indicator on profile cards, request posts, and conversations so tutors know a child will be involved before responding.

3. Our role

TutorCelle is a discovery and communication platform. We do not employ tutors, do not deliver the tutoring itself, and are not a party to any agreement reached between a student or parent and a tutor. Any lesson arrangement, schedule, scope of work, fee, refund, or cancellation policy is set directly between the student or parent and the tutor.

Tutors who use TutorCelle are independent educational service providers. They are not employees, agents, representatives, contractors, joint venturers, or partners of ExcelUp Lab LLC. Nothing in these Terms or in your use of the Services creates an employment, agency, or partnership relationship between ExcelUp Lab LLC and any tutor, student, or parent. ExcelUp Lab does not supervise, direct, or control the educational services provided by tutors.

Consistent with their independent status, tutors set their own hourly rates, choose which students or requests to accept, decide their own schedule and availability, choose their own teaching methods, materials, and curriculum, and use their own equipment and conferencing tools. TutorCelle does not assign work, set hours, require exclusivity, withhold taxes, provide employee benefits, reimburse expenses, or pay tutors. Tutors are solely responsible for their own taxes, licenses, insurance, and compliance with the laws of the jurisdictions in which they operate. The verification, safety, and conduct requirements in these Terms exist to protect users of the platform and do not establish behavioural control over how a tutor delivers lessons.

3a. Verification disclaimer

TutorCelle reviews documents that tutors submit (such as government ID and teaching or subject credentials) before a tutor can appear in search or contact students. A "verified" status means only that the documents were reviewed by our team. It is not an endorsement, certification, warranty, or guarantee of a tutor's qualifications, ability, character, teaching quality, or suitability for any student. Families are responsible for evaluating tutors and deciding whether to engage them.

3b. No guarantee of services or outcomes

ExcelUp Lab LLC does not guarantee, and disclaims any responsibility for, any of the following:

• Tutor qualifications, credentials, or background beyond document review.
• Tutor availability, response time, or continued participation on TutorCelle.
• Educational outcomes, learning progress, or skill acquisition.
• Student performance, grades, or test scores.
• College, school, scholarship, or program admission outcomes.
• The accuracy of any statement made by a tutor, student, or parent on the platform.

3c. Off-platform interactions

TutorCelle does not operate, host, or provide its own video conferencing platform. Live lessons happen on third-party tools (such as Zoom, Google Meet, or Microsoft Teams) using a meeting link provided by the tutor. Our team reviews and approves the meeting link a tutor submits before it can be shared with students or parents, but approval only confirms that the link points to a recognized, reputable conferencing service. It is not an endorsement of, and we are not responsible for, the third-party platform's availability, security, recording, privacy practices, or terms of use. Your use of any third-party video tool is governed by that provider's own terms.

Once users choose to communicate, meet, or transact outside TutorCelle — for example by email, phone, in person, or through any third-party payment method — those interactions are entirely between the users involved. ExcelUp Lab LLC has no visibility into and no responsibility for off-platform conduct, agreements, payments, refunds, safety, or disputes. We strongly recommend keeping initial contact, scheduling, and verification on TutorCelle.

4. Fees and payments

TutorCelle is free to use. We do not charge students, parents, or tutors to create an account, list a profile, contact each other, or arrange lessons. We do not process payments for lessons and we do not take a commission. Any payment for tutoring is handled directly between the student or parent and the tutor, using a method they agree on. TutorCelle is not responsible for any payment, refund, chargeback, tax, or financial dispute arising from that arrangement.

We may introduce optional paid features in the future. If we do, we will update these Terms and clearly disclose any fees before you are asked to pay anything.

5. Acceptable use

You will not:

• Harass, abuse, threaten, or discriminate against any user.
• Share sexually explicit content, content harmful to minors, or content that violates any law.
• Use the directory to spam, recruit, advertise unrelated services, or harvest contact information.
• Scrape, reverse-engineer, or attempt to disrupt the Services.
• Impersonate another person or misrepresent your credentials.

Violations may result in warnings, suspension, or removal under our Community Guidelines.

6. Content you provide

You retain ownership of content you upload (profile text, materials, messages). You grant TutorCelle a worldwide, non-exclusive, royalty-free license to host, display, and transmit that content solely to operate and improve the Services.

7. Intellectual property

The TutorCelle name, logo, software, and design are our intellectual property or licensed to us. You may not copy, modify, or create derivative works without our written permission.

8. Privacy

Our handling of personal data is described in the Privacy Policy and Cookie Policy, which form part of these Terms.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, TutorCelle's total liability arising out of or relating to the Services will not exceed USD $100. Because TutorCelle is provided free of charge, no fee-based recovery applies. We are not liable for indirect, incidental, special, consequential, or punitive damages. Some jurisdictions (including the UK and EU) do not allow certain limitations; those will not apply to you.

11. Indemnity

You agree to indemnify TutorCelle against claims arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

12. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or pose a safety risk. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, dispute resolution) will survive termination.

12a. Administrator powers and audit logging

You acknowledge that authorised TutorCelle staff ("administrators") may take moderation and compliance actions on your account when these Terms, the Community Guidelines, the Trust & Safety policy, or applicable law require it. Those actions can include: issuing warnings, suspending or removing accounts, freezing conversations during an investigation, approving or rejecting tutor or identity verifications, removing content, and referring serious matters to the appropriate authorities. Administrators do not have access to your password and cannot sign in as you. They do not have routine access to read private messages between other users — messages may be reviewed only in response to a report or a credible safety concern, and only to the extent reasonably needed to act on it. Every administrator action affecting an account is recorded in an internal audit log (who acted, when, the affected account, and the reason) to deter misuse of these powers and to support appeals and lawful requests. 13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Florida, except where local consumer-protection laws give you the right to bring an action in your country of residence (e.g., UK, EU, Australia). Nothing in these Terms restricts your non-waivable statutory rights.

13a. Binding arbitration and class action waiver

Please read this section carefully — it affects your legal rights.

Except for (i) disputes that qualify for small-claims court, (ii) claims for injunctive relief to protect intellectual property, and (iii) any rights you cannot waive under the mandatory law of your country of residence, you and ExcelUp Lab LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Miami-Dade County, Florida, or by video/telephone at your request. The arbitrator's award is final and may be entered in any court of competent jurisdiction.

Class action waiver. You and ExcelUp Lab LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@exceluplab.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your account email in the body. Opt-out does not affect any other part of these Terms.

13b. International users

TutorCelle is operated from the United States. By using the Services from outside the U.S., you consent to the transfer, processing, and storage of your information in the United States and other countries where our service providers operate, which may have different data protection rules than your home country. You are responsible for complying with the laws of your jurisdiction regarding use of the Services, including export controls, online education licensing (where applicable), and any rules on contracting with independent tutors. Nothing in these Terms waives any non-derogable consumer rights granted to you by the mandatory law of your country of residence (for example, the EU/UK consumer rights regime, the Australian Consumer Law, or Brazil's CDC).

13c. Restricted countries and sanctions

As a U.S. company, ExcelUp Lab LLC must comply with U.S. sanctions and export-control laws administered by the Office of Foreign Assets Control (OFAC). You may not create an account, access, or use the Services if you are located in, ordinarily resident in, or a national of any country, region, or jurisdiction subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions, Russia, and Belarus), or if you are on any U.S. government list of prohibited or restricted parties. You represent and warrant that you are not subject to any such restriction. We may block, suspend, or terminate accounts that we reasonably believe violate this section, without notice and without liability.

13d. Severability

If any provision of these Terms is held to be unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

14. Changes

We may update these Terms. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use after the effective date means you accept the changes.

• May 31, 2026 — Added binding individual arbitration with 30-day opt-out and class action waiver (§13a), international users clause acknowledging cross-border data transfers and local consumer rights (§13b), OFAC / sanctioned-countries restriction (§13c), and a severability clause (§13d).
